Welcome to TMR Arts Limited! These Terms & Conditions ("Terms") constitute a legally binding agreement between you and TMR Arts Limited ("TMR Arts," "we," "us," or "our").

These Terms are divided into two parts:

• Part A: General Terms of Use (Governing your access to our website and platform).

• Part B: TMRX Marketplace Trading Terms (Governing the purchase and sale of artworks).

By accessing our website (market.tmrarts.com), using our Service, or purchasing any artwork, you agree to be bound by these Terms.

 

PART A: GENERAL TERMS OF USE

1. Acceptance of Terms
By accessing or using our Service, you agree to be bound by these Terms, whether or not you are a registered user. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service
Our Service provides the following functionalities:

• Assisting collectors in minting their artwork NFTs.

• Marketplace platform "TMRX" (formerly TMR Arts Legacy Exchange) where collectors can sell their artworks and buyers can purchase them.

• Serving as an NFT hub, providing access to our Public Museum, Showroom, and Private Museum for exploration.

3. Account Registration
Some features of the Service may require you to create an account. When registering for an account, you agree to provide accurate and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Conduct
You agree to use the Service in compliance with all applicable laws and regulations. You agree not to:

• Use the Service for any unlawful purpose.

• Impersonate any person or entity.

• Interfere with or disrupt the operation of the Service.

• Attempt to gain unauthorized access to any portion of the Service.

5. Intellectual Property
All content and materials available through the Service (text, graphics, logos, images, software) are owned by or licensed to TMR Arts and are protected by intellectual property laws.

6. Disclaimer of Warranties (Website Use)
The Service is provided on an "as is" and "as available" basis without warranties of any kind. TMR Arts does not warrant that the Service will be uninterrupted or error-free.

7. Limitation of Liability
To the fullest extent permitted by law, TMR Arts shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.

PART B: TMRX MARKETPLACE TRADING TERMS

1. Overview
TMRX is a platform facilitating physical artwork transactions linked with blockchain digital certificates (NFTs).

2. Buying Process & Due Diligence

• Order Submission: Buyers may browse and order artworks via the platform.

• Due Diligence: We strongly recommend physical inspection of artworks at designated locations.

• "Sold As Is": Buyers must independently assess the condition and authenticity of the artwork. All transactions are deemed "Sold As Is," implying the buyer accepts the artwork's existing condition and seller's description.

3. Payment & Delivery

• Payment: Accepted methods include FPS, PayMe, Bank Transfer, and PayPal.

• Delivery: Options include In-Person Handover (recommended) or Logistics Shipping. Risk transfers to the buyer upon handover or dispatch.

4. 14-Day Cooling-off Period & Returns

• Scope: Applicable only to "Change of Mind" cases.

• Exclusions: Returns based on authenticity, description errors, color discrepancies, or condition issues are NOT accepted, as the buyer is deemed to have accepted the "As Is" condition.

• Conditions:

  • Request must be made within 14 days of receipt.

  • Artwork must be returned in original condition with all accessories.

  • Fees: Buyer bears shipping costs, insurance, and a 5% administrative fee.

5. Digital Certificate (NFT) Policy

• Nature: NFTs serve solely as digital certificates of authenticity/ownership for the physical artwork. They do not represent equity or investment returns.

• Transfer Timing: To ensure asset security, the NFT will be transferred to the buyer's wallet only after the 14-Day Cooling-off Period has expired without a return request.

• No In-App Purchase: The platform/App does not support separate purchasing or minting of NFTs. NFTs are strictly tied to completed physical transactions.

• Wallet Responsibility: Buyers must provide a valid wallet address. TMR Arts is not liable for loss due to incorrect addresses provided by the buyer.

6. Disclaimer (Trading)
TMR ARTS LIMITED makes no representations or warranties, express or implied, regarding the accuracy or completeness of the seller's description or the authenticity of any artwork sold on the platform. Buyers waive any right to claim against TMR Arts Limited regarding quality, authenticity, or provenance once the transaction is completed.

PART C: MISCELLANEOUS

1. Indemnification
You agree to indemnify and hold harmless TMR Arts from any claims arising out of your use of the Service or violation of these Terms.

2. Modification of Terms
TMR Arts reserves the right to modify these Terms at any time. Your continued use constitutes acceptance of the amended Terms.

3. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
